1. Introduction
The Wireless Directory is owned and operated by WTIS Ltd, using outsourced webhosting and e-commerce facilities.   Visitors may access material on most areas of The Wireless Directory without registering as member of the The Wireless Directory community.  Some areas of The Wireless Directory are however restricted to those visitors who have registered as community members.  

The Wireless Directory makes no charge for its basic access.  Additional material, goods or services ("Premium Content") may from time to time be made available to you via The Wireless Directory on a paid-for basis. Such content will be clearly identified and you will be requested to give payment details if you wish to make a purchase. 

WTIS Ltd reserves the right to suspend or terminate your access to The Wireless Directory services at any time and may exercise this right without notice.  If applicable, notice will be given to your e-mail address as notified to WTIS Ltd.  

2. Use of The Wireless Directory Content
Most material posted on The Wireless Directory and distributed via our regular e-newsletter belongs to WTIS Ltd.  News material e-mailed or otherwise supplied to The Wireless Directory by community members The Wireless Directory newspage and/or in our regular e-newsletter.  Where embargo dates are requested in such news submissions, every effort will be made to respect these. Press release material included on The Wireless Directory is owned by the originating companies. 

Journalists and others may re-use a reasonable but limited amount of news content from The Wireless Directory and / or our regular e-newsletter free of charge, provided the source for each news item is separately acknowledged and the source, including URL, is cited in each case - via  http://www.thewirelessdirectory.com   Other than as here specified, The Wireless Directory content may not be reproduced, modified or in any other way commercially exploited. 

Specifically you require written permission from WTIS Ltd to undertake any of the following:
    -     redistribute content (other than limited and reasonable use, as above)
    -     use the content to create a database in any form - manual or electronic - by systematically downloading and storing content. 
Requests to re-use content in this way should be e-mailed to WTIS at admin@thewirelessdirectory.com 

You are responsible for all use of The Wireless Directory made by you or by anyone else using your user name and password and for preventing unauthorised use of this information. If you believe there has been any breach of security, eg disclosure, theft or unauthorised use of this information, you must notify WTIS Ltd immediately by e-mailing admin@thewirelessdirectory.com 

If on registration (or on amendment of your registration details) you provide WTIS Ltd with an email address that will result in any emails WTIS Ltd may send you being sent to you via a computer network operated by or on behalf of your employer or college (or similar) then you warrant that you are entitled to receive emails at that address. You also agree that WTIS Ltd may refrain from sending you any emails to such address without notifying you, even if you have subscribed to receive them, if we receive a request from your employer or college to stop sending emails to that address.

4. The Wireless Directory Community Forums and News Facilities
The Wireless Directory includes bulletin boards, discussion groups and other areas that allow feedback to WTIS Ltd and interaction between users ("Forums"). While WTIS Ltd does not control the information posted to Forums by users ("Messages"), it reserves the right to delete, move or edit Messages and to terminate your access to and use of the Forums.  You waive any moral rights that you may have in regard to the Messages. You are solely responsible for the content of your Messages and you must comply with any rules posted by WTIS Ltd on a Forum. Specifically, you may not post, link to or otherwise publish Messages which
    -     contain advertising or promotion for goods or services
    -     contain any chain Messages or "spam"
    -     contain software viruses, files or code designed to interrupt, destroy or limit the functionality of The Wireless Directory or any computer software or equipment
    -     are unrelated to the Forum or the its topic
    -     are unlawful, threatening, abusive, libelous, indecent, infringe copyright or other rights of third parties or which contain any other form of illegal content
    -     disguise their origin 
    -     purport to be from someone other than yourself or which misrepresent any affiliation with any person or entity
In addition you must not collect or store other users' personal data or take any actions which  restrict or inhibit any other user from using the Forums.

By submitting messages to any Forum you agree to indemnify and hold harmless WTIS Ltd from all claims, costs and expenses (including legal expenses) arising from any Messages posted or published by you that are in breach of these terms.

The Wireless Directory contains information, news and messages submitted by users over whom WTIS Ltd has no control. WTIS Ltd cannot guarantee the accuracy, integrity or quality of such content. Some users may breach these terms and conditions and may post Messages that are misleading, untrue or offensive. You must bear all risk associated with your use of The Wireless Directory and should not rely on The Wireless Directory in making (or refraining from making) any specific business or other decisions.

WTIS Ltd and members of The Wireless Directory  may also contribute material to the Forums in order to stimulate discussions and ensure the smooth running of the Forums. The Forums may also contain messages from special guests, such as industry experts, invited by WTIS Ltd. The opinions of these people are their own and are not necessarily endorsed by WTIS Ltd or by their employers or by other affiliated organisations.  Such opinions should not be considered by you as professional advice but simply as personal opinion.

By submitting Messages to any Forums you are granting WTIS Ltd a perpetual royalty free non-exclusive licence to reproduce, modify, translate, make available, distribute and sub-license the Message in whole or in part and in any form. This may include personal information such as your user name and alias and your expressions of opinion. WTIS Ltd reserves the right to contact you by e-mail with regard to your use of the Forums.

It is not possible for WTIS Ltd to fully and effectively monitor when Messages infringe the copyright of a third party or other third party rights. If you believe that a message infringes any legal rights that you may have, please notify WTIS Ltd immediately by e-mailing us on admin@thewirelessdirectory.com 

If you subscribe to The Wireless Directory's e-mail news service your use of the content received thereby will also be subject to these Terms and Conditions. 

5. Premium Content and Site Transactions
Premium content, materials or services may be provided on The Wireless Directory.  Such content will require payment of certain charges, which may be by credit card on-line, by bank transfer or by cheque. In the event that WTIS Ltd does not receive timely payment, WTIS Ltd may suspend your use of The Wireless Directory. You are responsible for the payment of all charges associated with the your use of The Wireless Directory.  If your use of The Wireless Directory is terminated by WTIS Ltd, you will remain responsible for any fees or other charges incurred by you until the termination of your rights to use The Wireless Directory.

WTIS Ltd may use the services of third party providers to allow visitors and users of The Wireless Directory to purchase products or services.  Your contract when purchasing products or services in this way will be with the third party partner.

6. Downloads 
Copyright in any software (eg screensavers, etc) that is made available for download direct from The Wireless Directory  ("Software") belongs to WTIS Ltd or its suppliers. The Wireless Directory also provides links to other sites offering downloads - in such instances downloadable material does not belong to WTIS Ltd.  Your use of any Software is governed by the terms of any licence agreement that may accompany or be included with the Software. Do not install or use any Software unless you agree to such licence agreement.

7. No Warranties and Exclusion of Damages
The Wireless Directory content is provided only for your general information and use and is not intended to address your particular requirements. In particular, the content does not constitute any form of recommendation, endorsement or advice and should not be relied upon by users in making (or refraining from making) any specific decisions. The Wireless Directory  is not intended to replace the services of independent consultancies or other suppliers.  Independent corroboration of information posted on The Wireless Directory and / or appropriate advice should be obtained before making any such decision. Any arrangements made between you and any third party named on The Wireless Directory are at your sole risk and responsibility.

Since WTIS Ltd obtains its content from a range of sources, including community members and other industry contacts, and due to the nature of electronic distribution via the Internet, WTIS Ltd cannot give any warranty in respect of the site, its content, software or other services available.  The Wireless Directory services and content are provided on an "as is" basis, for use at the user's own risk.  WTIS Ltd disclaims all warranties, conditions and duties of every nature, except duties of good faith.  Due to the nature of our sources, WTIS Ltd specifically does not offer any warranty regarding accuracy, timeliness, completeness, comprehensiveness or ownership with respect to content.   In using The Wireless Directory you agree that WTIS Ltd will not be liable to you or any third party for any consequential or incidental damages, or for any other damages which may arise through your use of services offered through The Wireless Directory.

The Wireless Directory  contains links to other World Wide Web sites and to other independent third party sites, either directly or through frames. Where possible, WTIS Ltd will make clear where such links are being made. WTIS Ltd is not responsible for the availability or content of Third Party Sites and will not be a party to, or in any way responsible for, any transaction concerning goods or services available from such Third Party Sites.

8. Privacy
WTIS Ltd respects your privacy and gathers the minimum needed personal information in order to provide an effective service to members of the The Wireless Directorycommunity.  Any information that you provide will only be used for the effective administration of The Wireless Directoryand to communicate with you.  Any information provided by you to WTIS Ltd is confidential and will not be passed to other companies or individuals without your express permission. 9. Changes to these Terms and Conditions
WTIS Ltd reserves the right, at its discretion, to make changes to any part of The Wireless Directory. WTIS Ltd may wish to change these Terms and Conditions from time to time in order to provide improved facilities on The Wireless Directory. Such changes will be listed with date of change on this page of The Wireless Directory  After WTIS Ltd has published the fact of these changes on this page, you agree to be bound by those changes. If you do not wish to be bound by those changes, you should cease to use The Wireless Directory after such changes have been published.

10. Sponsorship
The Wireless Directory may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on The Wireless Directory complies with international and national law. WTIS Ltd cannot be held responsible for erroneous information supplied by members or sponsors, but will seek to amend any errors brought to our notice within 5 working days.

11. Applicable Law
The Wireless Directory shall be governed by, and these terms construed in accordance with, English law.  The courts of England shall have exclusive jurisdiction to settle any dispute which may arise in connection with these Terms and Conditions.

12. General
You may not assign, sub-license or otherwise transfer any of your rights and responsibilities under these Terms and Conditions.

If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

Failure by either party to exercise any right or remedy under these Terms and Conditions does not constitute a waiver of that right or remedy. Headings in these Terms and Conditions are for convenience only and will have no legal meaning or effect.
